The Path Pass is a prepaid season pass issued by Path Resorts ("Path Resorts," "we," or "us") that entitles the named holder to a set number of 2-night midweek stays at Steele Hill Resort in Sanbornton, NH, the Summit Resort in Laconia, NH, and Center Harbor Inn in Center Harbor, NH, during the Pass's validity period. The Path Pass is not a gift certificate, gift card, or general-purpose stored-value product. It has no cash value, is not redeemable for cash, cannot be applied toward any other Path Resorts or Path Vacations product, and cannot be exchanged for nights or dates that are not eligible under these Terms. By purchasing, accepting, or using a Path Pass, you agree to these Terms, including the binding arbitration and class-action waiver provisions below.

Pass sizes. The Path Pass is sold in three sizes: the 4-Night Path Pass (two 2-night stays), the 6-Night Path Pass (three 2-night stays), and the 12-Night Path Pass (six 2-night stays). Each stay is one 2-night stay, so a Pass's total number of nights is twice its number of stays. The size purchased, including its number of stays, its total number of nights, and its total price, is fixed at the time of purchase and is shown at the point of sale, on the order confirmation, and on the Pass itself. Pass pricing is set per Pass and does not represent or guarantee any particular nightly rate.

Validity period and expiration. Every Path Pass is valid from the date of purchase through December 31, 2027, and expires on that date for all holders regardless of purchase date. Holders may begin booking and using stays immediately upon purchase, including in 2026. Any stay that has not been used to reserve a reservation by December 31, 2027 expires on that date and has no remaining value. Reserved stays must also be completed on or before December 31, 2027.

Issuance. The Pass is issued by email to the named holder within one business day (Monday through Friday) of purchase, with a unique Pass code and booking instructions. A Pass purchased as a gift is issued to the recipient named at checkout. Keep your Pass code confidential; anyone who presents it may be treated as acting on the holder's behalf.

How stays are reserved. All reservations are made by phone at 1-800-661-2243, and the holder must provide the Pass code at the time of booking. The Pass may be purchased online, but stays cannot be reserved online. Each stay is redeemed at the time of booking and deducted from the stays remaining on the Pass, and each stay may be used only once. Each stay is one 2-night midweek stay at one of the three properties listed above. Stays may be used at any of the three properties, in any order, and the stays on a single Pass may be used at different properties. Two or more stays may be combined into one longer consecutive midweek stay at a single property, subject to availability and to the midweek and blackout restrictions below. A stay cannot be split into single nights, and unused nights from a stay cannot be carried over to another stay. Accommodations are assigned at the time of booking, based on availability, in the unit types made available to this program at each property.

Eligible nights and blackout dates. Stays are available for Sunday, Monday, Tuesday, and Wednesday check-ins only, and are subject to availability. Friday and Saturday nights, and certain Sunday nights, cannot be reserved with a Pass. Blackout dates apply, including major holidays and school-vacation weeks. The current blackout calendar is published at www.pathvacations.com/blackout-dates and the calendar in effect at the time of booking governs.

Reservations, changes, and no-shows. Stays may be reserved up to six months in advance of the arrival date. Reservations made with a Path Pass cannot be canceled and are considered fulfilled in the event of a no-show. Once dates are reserved, the holder may reschedule that stay one time with at least 14 days' notice before arrival, in accordance with each property's policies. Rescheduled stays remain subject to availability and blackout dates and must be completed on or before December 31, 2027. Early departure from a reserved stay does not return unused nights to the Pass.

Availability and alternatives. All reservations are subject to availability. If the property, unit type, or dates a holder requests are not available, Path Resorts will offer alternative dates, unit types, or properties among Steele Hill Resort, the Summit Resort, and Center Harbor Inn, and the holder may choose whether to accept them. Path Resorts will not move a confirmed reservation to a different property or different dates without the holder's agreement, except as described under Events beyond our control below.

Named holder, gifting, and transfer. A Path Pass is issued to a named holder. It may be purchased as a gift for a recipient named at the time of purchase. After issuance, the holder may transfer the Pass, or an individual unused stay from it, to another person by calling Path Resorts at 1-800-661-2243 and paying a $10 administrative fee per transfer, after which the Pass or stay is reissued to the new named holder. All transfers must be processed by Path Resorts. A Pass or stay is not transferred by giving the Pass code to another person, and a Pass is not valid for commercial resale. A stay that has already been used to reserve a reservation cannot be transferred, reissued, or reactivated. Except for this administered transfer, a holder may not assign the Pass or any rights under these Terms.

Payment, taxes, fees, and savings. Passes are paid in full at the time of purchase and are nonrefundable. The Pass price covers the room-nights only. Applicable taxes, any resort or amenity fee charged by the property, and incidental charges are not included and are payable at the property at the time of stay. Resort fees vary by property, are subject to the amounts in effect at the time of the stay, and will be disclosed at the time of booking and at check-in. Advertised savings of up to 50% are measured against each property's standard published midweek rates for the same nights, which vary by season, property, and unit type; the actual savings on any individual stay may be less. The Pass may not be combined with any other Path Resorts or Path Vacations promotion, member discount, or coupon.

Check-in requirements. The primary guest checking in on the arrival date must be the guest named on the reservation, be 21 years of age or older, present a valid photo ID, and present a major Mastercard, Visa, or Discover credit card in their name (American Express is not accepted) to cover the $200 hotel incidentals deposit. Guests must meet all check-in requirements and policies of the property at which they are staying. These requirements may be reviewed with the reservationist at the time of booking and are included in the reservation confirmation email.

Onsite dining facilities may be closed on certain days, including Wednesdays. Please review this with your reservationist when booking.

No tours. There are no tours or sales presentations involved with the purchase or use of a Path Pass. The Path Pass is not part of the Vacation Club and does not require participation in any Vacation Club presentation.

No automatic renewal. The Pass does not automatically renew, and no recurring or subscription charge is associated with it.

Program changes. Path Resorts reserves the right to modify or discontinue the Path Pass program at any time. Passes purchased before any such change will be honored through December 31, 2027 under the terms in effect at the time of purchase.

Events beyond our control. Path Resorts is not liable for any failure or delay in performance caused by events beyond its reasonable control, including severe weather, natural disaster, fire, utility or labor disruption, government action, or public-health emergency. If such an event prevents a reserved stay from taking place, Path Resorts will return the stay to the Pass and work with the holder to rebook it within the validity period. If rebooking within the validity period is not reasonably possible, Path Resorts will extend the validity period for the affected stay only by up to six months beyond December 31, 2027. No refund or cash payment is owed for a stay affected by such an event.

Limitation of liability. To the fullest extent permitted by law, Path Resorts' total liability arising out of or relating to the Pass or these Terms will not exceed the amount paid for the Pass, and Path Resorts will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for personal injury caused by negligence.

Disclaimer of warranties. Except as expressly stated in these Terms, the Pass and the accommodations and services provided under it are offered "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. This does not affect any warranty or protection that applicable law does not allow to be disclaimed.

Dispute resolution and binding arbitration. PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO BRING A CLAIM IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

Before starting an arbitration, the party raising a dispute must first send the other party a written notice describing the dispute and the relief sought (notices to Path Resorts go to the address in the Notices section below) and allow 60 days for the parties to try to resolve it informally.

If the dispute is not resolved within that time, any dispute, claim, or controversy arising out of or relating to the Pass or these Terms, or to their breach, termination, enforcement, or validity, will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court. Either party may instead bring an individual claim in small-claims court if that claim qualifies. The arbitrator has exclusive authority to resolve any dispute about whether this section applies or is enforceable. Filing and arbitrator fees are allocated as provided in the AAA Consumer Arbitration Rules. Any in-person hearing will take place in New Hampshire or another mutually agreed location, and the arbitrator may hold hearings by phone or video. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. This agreement to arbitrate is governed by the Federal Arbitration Act.

You may opt out of this arbitration agreement by sending written notice to Path Resorts at the address in the Notices section within 30 days of your Pass purchase date, stating your name, the Pass order number, and that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.

Class-action and jury-trial waiver. To the fullest extent permitted by law, all claims must be brought in a party's individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding. Each party waives any right to a trial by jury. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, and the remainder of this section will continue to apply. If the arbitration agreement as a whole is found unenforceable, disputes will be resolved in the courts described under Governing law and venue, and the jury-trial waiver will continue to apply to the extent permitted by law.

Governing law and venue. These Terms, and any dispute relating to the Pass, are governed by the laws of the State of New Hampshire, without regard to its conflict-of-laws rules. Subject to the arbitration provision above, the exclusive venue for any court proceeding permitted under these Terms is the state and federal courts located in New Hampshire, and each party consents to their jurisdiction.

Assignment. Path Resorts may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided that the assignee honors outstanding Passes through their validity period.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire agreement and notices. These Terms, together with the Pass and the order confirmation provided at purchase, constitute the entire agreement between the holder and Path Resorts regarding the Pass and supersede any prior or contemporaneous representations.
